Cardinal Americas targets well-managed, sound companies run by proven managers with a track record of success and the ability to grow the business. The Fund aims to take substantial ownership positions through equity investments. The Principals take an active role in the strategic direction of the portfolio companies and use a variety of financial structures including: common stock, preferred stock, debt or any appropriate combination. The Fund avoids investing in start-up or development-stage companies and does not participate in "turn-around" situations or "hostile" investments. In addition, the Fund will not invest in high-tech or biotech companies. The Principals maintain a long-term approach with an investment horizon spanning five to seven years, consistent with the implementation of the management goals and the realization of their strategic objectives.

Specifically, the Principals are guided by the following investment criteria

	Experienced and proven management teams
	Revenues of less than $100 million
	EBITDA between $2 to $8 million
	Participation in a market or market segment which is large and/or rapidly growing
	Proven product or service
	Low execution risk
	High margins / Operating leverage / Scalability
	Definable exit
	Defensible market / Competitive position

Cardinal Americas will make equity and mezzanine investments of between $5 and $15 million and has the ability to close on larger investments through its co-investment network. The Principals maintain complete flexibility in terms of structuring the investments and customize the financings to best satisfy the needs of the portfolio companies.
